Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website operated by Matt's Experiment Music LLC (“we,” “us,” or “our”) and your purchase and use of the Experimenter VST plugin software (“Software”). By accessing the site, purchasing the Software, or using the Software, you agree to these Terms.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or use the Software. By using the site or Software you represent that you meet this requirement.
2. License Grant
Subject to these Terms and your payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your personal or commercial music production purposes on the number of computers or devices permitted by the license type you purchased (typically one primary user / machine unless otherwise stated at purchase).
You may not:
- Redistribute, resell, rent, lease, or sublicense the Software or any part of it.
- Share your license key or install files with others.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
- Remove or alter any proprietary notices.
- Use the Software in any way that violates these Terms or applicable law.
The Software is licensed, not sold. All rights not expressly granted are reserved by Matt's Experiment Music LLC.
3. Purchases and Payment
All purchases are processed through Stripe. Prices are as listed at the time of purchase and are subject to change. You are responsible for any applicable taxes.
4. Refunds
Because the Software is a digital downloadable product, all sales are final once the download link or license key has been delivered, except where required by applicable law. If you experience a technical issue that prevents the Software from functioning as described, contact us at software@mattsexperiment.com within 14 days of purchase and we will attempt to resolve the issue within a reasonable time. If we cannot resolve it, we may, at our sole discretion, offer a refund or replacement. Chargebacks initiated without first contacting us may result in a permanent ban from future purchases.
EU/EEA/UK consumers: Under applicable consumer law, you may have a statutory right to withdraw from a digital purchase within 14 days without giving a reason. By completing your purchase and providing explicit consent at checkout to immediate delivery of digital content, you acknowledge that you lose this withdrawal right once the Software has been delivered.
5. Updates and Support
We may provide updates or new versions of the Software at our discretion. Support is provided on a reasonable-effort basis via the contact email listed on the site. We do not guarantee response times or that every issue will be resolved.
6. Intellectual Property
The Software, website, and all related content, trademarks, and materials are owned by Matt's Experiment Music LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights in the Software beyond the limited license granted above.
Feedback. If you submit suggestions, feature requests, or bug reports, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.
7. Disclaimer of Warranties
THE SOFTWARE AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY DAW, OPERATING SYSTEM, OR HARDWARE CONFIGURATION.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATT'S EXPERIMENT MUSIC LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, THE SOFTWARE, OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Matt's Experiment Music LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Software, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may suspend or terminate your license and access to the Software if you breach these Terms. For breaches capable of being cured, we will provide notice and a reasonable opportunity to cure before termination, except where the breach involves unauthorized redistribution, fraud, or other conduct that in our reasonable judgment requires immediate termination. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections that by their nature should survive (including license restrictions, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.
11. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved by binding individual arbitration administered under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual action in small claims court.
Class action waiver. You and Matt's Experiment Music LLC agree that any arbitration or proceeding shall be limited to the dispute between us individually. You waive any right to participate in a class action, class arbitration, or representative action.
Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing software@mattsexperiment.com with the subject line “Arbitration Opt-Out” and your name and order number. If you opt out, disputes will be resolved under Section 12 (Governing Law) instead.
This section does not apply to consumers in jurisdictions where pre-dispute arbitration agreements are unenforceable under local law; for such consumers, Section 12 governs instead.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Subject to Section 11, any dispute arising under these Terms shall be resolved in the state or federal courts located in the State of Florida, and you consent to personal jurisdiction there.
13. General Provisions
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matt's Experiment Music LLC regarding the Software and website, and supersede any prior agreements, representations, or communications, whether written or oral.
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Force majeure. We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disaster, war, terrorism, labor disputes, internet or infrastructure failures, or third-party service outages (including Stripe or hosting providers).
Assignment. You may not assign or transfer these Terms or your license without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on the website with a revised “Last updated” date. Continued use of the Software or website after changes constitutes acceptance of the updated Terms.
